Terms of Service
The Terms of Service that govern your use of Javern Fashion.

Welcome to Javern Fashion (the "Platform"), a multivendor fashion marketplace operated by Nixon Cloud Limited ("Javern", "we", "our", "us"). These Terms of Service (the "Terms") govern your use of javern.com, the Javern shopping app, the Javern Vendor app, and any related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, please stop using the Services.
1. Definitions
- Platform / Services — javern.com, the Javern shopping app, the Javern Vendor app, and any related Javern services.
- User — any individual who has registered a Javern account. Includes Buyers and Vendors.
- Buyer — a User who browses and purchases products.
- Vendor — a User (individual or business) who lists and sells products through their own store on the Platform.
- Store — a Vendor's storefront on the Platform.
- Order — a purchase initiated by a Buyer for a specific Vendor's items.
- Javern Wallet — a Naira-denominated balance tied to a Javern account. Buyers use it to pay and receive refunds; Vendors (once BVN-verified) use it to receive payouts.
- Service Fee — a fixed platform fee applied per accepted Order.
- Commission — the percentage of the product subtotal Javern retains from a Vendor's earnings on an accepted Order.
- Content — text, images, video, and other material submitted to the Platform by Users, Vendors, or Javern.
2. Eligibility and accounts
- You must be at least 18 years old to use the Services.
- You must provide accurate, current information during sign-up and keep it up to date.
- You are responsible for keeping your account credentials secure and for all activity under your account.
- You may hold only one Buyer account. Vendors may operate one Store per account.
- Vendor sign-up is currently only available in the Javern Vendor app — not on javern.com or the main shopping app.
- We may refuse, suspend, or terminate accounts that violate these Terms.
3. What Javern is and isn't
Javern is an online marketplace. We provide the software, infrastructure, and payment processing that connect Buyers and Vendors. Vendors — not Javern — own their inventory, arrange delivery, and are responsible for the products they sell. Javern does not manufacture, warehouse, ship, or take title to any Vendor's products.
4. Payments and fees
- All payments on Javern are processed through Paystack and denominated in Naira (NGN).
- Service Fee: a flat ₦500 is deducted from each accepted Order and retained by Javern.
- Commission: 5% of the product subtotal is deducted from the Vendor's earnings on each accepted Order and retained by Javern. Commission does not apply to shipping or the Service Fee.
- Withdrawal fee: Vendors withdrawing from their Javern Wallet are charged a flat ₦10 transaction fee per withdrawal.

5. Orders
- When you place an Order, your payment is confirmed instantly and held pending Vendor action.
- The Vendor has 72 hours to accept or reject the Order.
- If accepted, the Order proceeds to processing, shipping, and delivery.
- If rejected, you are refunded in full to your Javern Wallet immediately.
- If the Vendor does not act within 72 hours, the Order is automatically cancelled and you are refunded in full to your Javern Wallet.
- After acceptance, a chat opens between Buyer and Vendor. All Order-related communication should stay in this chat so we have a record for dispute resolution.
- Each Vendor's cart is a separate Order — orders are not combined across Vendors.
- Vendors set their own delivery options (courier, coverage, and price). Delivery times vary by Vendor.
6. Cancellations, returns, and refunds
- Buyers may cancel an Order only while it is in Pending Payment — before payment has cleared.
- Once payment has cleared, only the Vendor (by rejecting) or the 72-hour auto-cancel can cancel the Order.
- All refunds on Javern are credited to your Javern Wallet — no refund-to-card path.
- Returns and after-sales issues are handled between Buyer and Vendor via the order chat, with Javern support available to mediate.

7. Buyer responsibilities
- Provide accurate contact and delivery details.
- Pay for Orders in full at checkout, including any shipping fees.
- Communicate with Vendors through the order chat, respectfully and truthfully.
- Confirm delivery in the app once Orders arrive.
- Do not use fraudulent payment methods, chargebacks in bad faith, or attempt to defraud Vendors or Javern.

8. Vendor responsibilities
- Only list items that fall within the permitted product categories (clothing, apparel, shoes, accessories, and wearables). See the Prohibited Items Policy.
- List products accurately, with truthful descriptions, correct sizing, and honest photography.
- Accept or reject Orders within 72 hours.
- Ship accepted Orders promptly and update Order status as you go.
- Respond to Buyer messages in the order chat within a reasonable time.
- Handle after-sales issues (returns, defects, wrong items) fairly and in accordance with your published Store policies.
- Complete BVN verification via Paystack before receiving payouts through the Javern Wallet.
- Maintain accurate bank details for withdrawals.

9. Content and licensing
- You retain ownership of the Content you submit (product photos, descriptions, chat messages, reviews, etc.).
- By submitting Content, you grant Javern a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and use that Content solely for the purpose of operating and promoting the Services.
- You represent that you have all necessary rights to the Content you submit.
- Javern owns all rights to the Platform itself — including logos, designs, code, and branding — as covered in the Intellectual Property Policy.
10. Prohibited conduct
You agree not to:
- Use the Services to break the law.
- Sell prohibited items (see the Prohibited Items Policy).
- Post false, misleading, defamatory, or infringing Content.
- Attempt to bypass Javern's payment system by arranging off-platform payments.
- Harass, threaten, or abuse other Users. See the Community Guidelines.
- Use bots, scripts, or automation to place fraudulent Orders, manipulate reviews, or scrape Content.
- Reverse-engineer, decompile, or attempt to gain unauthorised access to the Services.
- Impersonate another person, Vendor, or Javern staff.
11. Moderation and enforcement
Javern may, at its discretion:
- Remove Content that violates these Terms.
- Suspend or terminate accounts. See the Account Suspension Policy.
- Freeze pending balances or withdrawals during investigation of a dispute.
- Cooperate with law enforcement where required by law.
Users may appeal actions taken against them — see the Appeals Policy.
12. Disputes between Buyers and Vendors
- Buyers and Vendors should first attempt to resolve any issue in the order chat.
- If they cannot agree, either party may escalate to Javern support with the Order ID, evidence, and a summary.
- Javern's role is to mediate — not to guarantee a specific outcome. Where evidence supports a refund, Javern may issue one to the Buyer's Javern Wallet. Where evidence supports the Vendor, the Buyer's request may be denied.
- Decisions made by Javern in dispute resolution are final for the purposes of the Platform.
13. Disclaimers
- The Services are provided "as is" and "as available". We make no warranties, express or implied, about the fitness, availability, uninterrupted operation, or specific results of the Services.
- Product listings on Javern are created by Vendors. Javern does not warrant the quality, safety, legality, or accuracy of any product listing.
- Delivery is handled by Vendors and their chosen couriers. Javern does not guarantee delivery times or courier performance.
14. Limitation of liability
To the maximum extent permitted by law:
- Javern is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
- Javern's total aggregate liability to you for any claim arising out of the Services is limited to the greater of (a) the fees Javern retained from your Orders in the six months preceding the claim, or (b) ₦20,000.
- Nothing in these Terms excludes liability that cannot be excluded by law.
15. Indemnity
You agree to indemnify and hold harmless Javern, its affiliates, and its staff from any claim, loss, or expense arising out of your breach of these Terms, your Content, your Products (if you are a Vendor), or your violation of any third-party right.
16. Termination
- You may close your Javern account at any time — see How do I delete my account?.
- Javern may suspend or terminate your account for breach of these Terms, fraud, prolonged inactivity, or where required by law.
- Sections that by their nature should survive termination (payments, disclaimers, limitations of liability, dispute resolution, and intellectual property) survive termination of these Terms.
17. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we'll notify you via the Platform, by email, or via push notification. Your continued use of the Services after the effective date of the update constitutes acceptance of the updated Terms.
18. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. You and Javern agree that the courts of Lagos State, Nigeria have exclusive jurisdiction over any dispute arising out of these Terms, subject to any mandatory consumer-protection rules that may apply in your country of residence.
